2) SUG-TX October Meeting Highlights

The Sybase Users’ Group of Texas met on October 23rd at the HAL-PC offices.  Following the group’s introductions, a spirited roundtable discussion regarding Sybase PowerBuilder, PowerDesigner, and database solutions ensued, including the recent revelation that the Sybase stock price has skyrocketed from a 52 week low to a 52 week high over three months.

The surge in stock price occurred on news that Investment firm Sandell Asset Management Corp. has urged the company to improve the value of its shares through a buyback or possible sale of its units. The firm, which owns 6% of Sybase, told Chief Executive John Chen in a letter that the company should conduct an immediate $500 million buyback of shares at a premium price, spin off its mobility segment, or sell the company in whole or in part.  In other financial news the trading volume of Sybase has increased dramatically over the same period.

Total revenue increased 22% to $255.3 million from $209.1 million in the third quarter of 2006. License revenue increased 12% to $85.1 million from $76.3 million in the third quarter of 2006. Services revenues were up slightly to $135.8 million, and messaging revenues were $34.3 million.

Non-GAAP operating income for the 2007 third quarter increased 40% year over year to $57.3 million, representing a 22% operating margin.

Non-GAAP net income for the quarter was $42.8 million, or earnings per diluted share (EPS) of $0.47. This compares with non-GAAP net income of $36.3 million, or EPS of $0.40 for the third quarter of 2006.

Operating income calculated in accordance with generally accepted accounting principles (GAAP) for the quarter increased 39% year over year to $44.6 million, representing a 17% operating margin.

GAAP net income was $34.1 million, or GAAP EPS of $0.37, for the quarter. This compares with GAAP net income of $25.1 million, or GAAP EPS of $0.27, for the 2006 third quarter.

Non-GAAP amounts exclude the amortization of certain purchased intangibles, stock-based compensation, and restructuring costs, and the tax effect of these and related items. Accompanying this release is a reconciliation from GAAP to non-GAAP amounts for the 2007 third quarter.

“We are extremely pleased with our performance in the third quarter, with strong contributions from each of our three business segments,” said John Chen, chairman, CEO, and president of Sybase. “Solid growth across all of our key product lines — data management, mobile middleware, and messaging services — demonstrates the growing market acceptance of our Unwired Enterprise platform.

“The strong revenue performance in each of our three business segments also demonstrates the leverage in our business model and growing cross-selling synergies in our enterprise customer base. This helped drive our sixth consecutive quarter of consolidated operating margin expansion. As a result, we are raising our outlook for full-year EPS and operating cash flow for the second time this year,” concluded Mr. Chen.

4) Sybase Chairman, CEO and President John S. Chen Receives 2007 New Silk Road Award

    from California-Asia Business Council

DUBLIN, CA  — OCTOBER 29, 2007 — Sybase, Inc. (NYSE: SY), a leading provider of enterprise infrastructure and mobile software, today announced that Chairman, CEO and President John S. Chen was honored by the California-Asia Business Council (Cal-Asia) with its 2007 New Silk Road Award. The award recognizes each year one individual who has made extraordinary contributions to the development and growth of U.S.-Asia commerce.

“John Chen is being honored for building strong markets for American technology in China, Japan, Korea and elsewhere in Asia, and for vigorously championing the expansion of healthy U.S.-Asia commerce in Congress and in industry and policy forums,” said Brad Aris, senior vice president of Wells Fargo HSBC Trade Bank, San Francisco, and chairman of Cal-Asia's award committee.

The New Silk Road Award program, now in its 13th year, honors individuals who foster a healthy and active business environment between the East and the West. The name of the award symbolizes both the ancient trade routes between Asia and the Western world, and the economic importance of today's trans-Pacific commerce.

“I am honored to receive this award and offer my sincere thanks to the California-Asia Business Council for creating a forum that recognizes important contributions to strengthen business ties between the U.S. and Asia,” said John Chen. “I look forward to continuing to be part of this force and forge a greater, more robust trade relationship.”

Previous winners of the award are former Secretary of State George Shultz (2006); Senator Dianne Feinstein (2005); Washington SyCip, known as the "Wise Owl" of Asian business (2004); and Dr. Daniel Chao, then chairman of Bechtel China (2003).

Chen responded to the award with remarks on the current landscape of U.S.-China business relations at Cal-Asia’s  annual “Asia Night” dinner and networking gala on Friday, Oct. 26, at the St. Regis Hotel in San Francisco.

Addressing some 300 business leaders at the event, Chen said, “We should focus on long-term issues in the U.S.-China business relationship, which are free flows of the three fundamental ingredients of any knowledge-based economy: investment, talent and knowledge.

“Corporate America should concentrate more on the openness and transparency of both American and Chinese markets, as well as the future competitiveness of the U.S. economy.”
